You must agree to the following terms and conditions before signing-up for an account with Seek99. The violation of the following terms and conditions may lead to termination of your account.

| Affiliates |
Webmasters that join Seek99 as an 'affiliate' are paid by Seek99 for the visitors that are led to live search links provided by our search engine. Payment will be made daily (within 24 hours) after the request of the affiliate, and a minimum balance of $50 is required before an affiliate will be paid. Affiliates will get paid 10% by refering other webmasters for the entire term of their affiliation. In order to qualify for payment of commissions for traffic delivered to our advertisers, affiliates must not alter Seek99 results with the intention to defraud Seek99 through the use of automated, human, technological or other means (such as incentivising users to visit advertisers links) or to falsely generate clicks, searches or page views. Affiliates traffic is tracked carefully, and any suspicious activity can lead to the immediate termination of Seek99 service, with all account balances to be held pending research to determine legitamacy. Seek99 reserves the right to alter the pay-rate at any time. Seek99 reserves the right to change any terms with no notice.
ANTI-SPAM POLICY
Seek99 has a ZERO TOLERANCE SPAM POLICY, which means that spam activity of any kind by any Affiliate will result in Immediate termination of the Affiliate's online subscription including all rights therein.
Spam consists of advertising services or goods by email to anyone without specific prior request or in the absence of a previously established relationship. Messages sent to unknown parties for the purpose of creating a request shall also be deemed to be spam, even if specific services or goods are not mentioned. Also considered spam are any messages posted to message boards or usenet groups that are not related to their subjects of discussion. In the event of a dispute regarding spam, the burden of proof is on the affiliate, not the recipient.
Spam will not be tolerated in any context. Spam and you are gone! In addition,
- You will forfeit all rights to any affiliate commission income due.
- You will cause the forfeiture of commission income due to any Affiliate under your control including Affiliates in your household.
- You will be liable for any financial loss caused to Seek99 as a result of spam, including service interruptions which will be charged at a rate of $350. per hour minimum.
In fairness to Seek99 and its Affiliates, spam will not be tolerated. Many states have enacted laws outlawing spam and similar conduct. Also, many internet service providers will terminate sites that have a high number of spam complaints. Tough spam policies are in everyone's best interests.

| Advertisers |
Advertising on Seek99 is done on a "pay-per-click" bidding process. By adding their site to the Seek99 database, advertisers agree to pay Seek99 a pre-specified amount for each unique visitor sent to the advertiser's website. A unique visitor is defined as a visitor who completes a search, as determined using Seek99's reasonable estimates, and has not visited the advertisers website within a specific time period on a prior visit. Seek99 will put forth commercially reasonable technical efforts to make sure that traffic delivered to an advertisers website is unique.
Seek99 has many partner websites ("Affiliates") which display results of Seek99 searches. Advertiser links may appear and be accessible on partner websites. In such situations, and unless specifically informed otherwise, all advertiser links displayed in other mediums will include the full title, description and link provided to Seek99.
Seek99 reserves the right to remove any advertiser or website link at any time and for any reason. In the event that Seek99 removes an advertiser, all unspent funds will be returned to the advertiser. Reasons for removal may include, but are not limited to, sites promoting illegal materials, potentially infringing materials including trademark or copyright infringements, or racial or hate motivated sites.
